‘Mitrefinch Limited UK Agreement Relating to the Perpetual Client Hosted Software Licence, Hardware and Support’; dated 12 July 2019:
- Clause 2 (Term) states that the agreement will continue unless, and until terminated in accordance with Clause 18.
- Clause 6 .1 (General) states that the renewal periods are successive periods of twelve months each.
- Clause 18 (Termination) allows either party to terminate the Support Services for convenience on sixty days written notice, which must be given at least sixty days before the end of the Initial Support Term (as identified on your Order Form) or sixty days before the end of the current Renewal Period; as applicable.
- This means that; should either party give written notice less than sixty days before the end of the Initial Support Term (or the current annual Renewal Period, as applicable); or does not issue written notice, the Support Services shall automatically renew for further twelve months periods thereafter, unless expressly terminated in accordance with the terms of the contract.
- For clarity the Initial Support Term commences on the Effective Date specified in your original Order.
- For the avoidance of doubt this does not affect either of our contractual rights to terminate for cause, as set out in clause 18.2 and 18.3.
‘Mitrefinch Limited UK Agreement Relating to the Cloud Hosted Software As A Subscription for Data Analytics Products and Services’; dated 28 August 2020:
- Clause 2 (Term) states that the agreement will continue for the Initial Subscription Term, and thereafter for successive periods of twelve months (the “Renewal Period”), unless and until terminated in accordance with clause 17.
- Clause 17 (Termination) allows either party to terminate the agreement for convenience on sixty days written notice, which must be given at least sixty days before the end of the Initial Subscription Term (as identified on your Order Form) or sixty days before the end of the current Renewal Period; as applicable.
- This means that; should either party give written notice less than sixty days before the end of the Initial Subscription Term (or the current annual Renewal Period, as applicable); or does not issue written notice, the Subscription Services shall automatically renew for further twelve month periods thereafter, unless expressly terminated in accordance with the terms of the contract.
- For clarity the Initial Subscription Term commences on the Effective Date specified in your original Order.
- For the avoidance of doubt this does not affect either of our contractual right to terminate for cause, as set out in 17.2 to 17.4.
‘Mitrefinch Limited UK Agreement Relating to Cloud Hosted Software as a Subscriptions, Hardware and Support’; dated 12 July 2019:
- Clause 2 (Term) states that the agreement will continue for the Initial Subscription Term, and thereafter for successive periods of twelve months (the “Renewal Period”) unless and until terminated in accordance with clause 20.
- Clause 20 (Termination) allows either party to terminate the agreement for convenience on sixty days written notice which must be given at least sixty days before the end of the Initial Subscription Term (as identified on your Order Form) or sixty days before the end of the current Renewal Period; as applicable.
- This means that; should either party give written notice less than sixty days before the end of the Initial Subscription Term (or the current annual Renewal Period, as applicable), or does not issue written notice, the Subscription Services shall automatically renew for further twelve month periods thereafter, unless expressly terminated in accordance with the terms of the contract.
- For clarity the Initial Subscription Term commences on the Effective Date specified in your original Order.
- For the avoidance of doubt this does not affect either of our contractual right to terminate for cause, as set out in clause 20.2 to 20.4.
‘Mitrefinch Canada, Support Terms’; dated 1 January 2020:
- Clause 11 (General) states that the agreement will continue for the Initial Subscription Term, and thereafter for successive periods of twelve months (the “Renewal Period”) unless and until terminated in accordance with clause 23.
- Clause 23 (Termination) allows either party to terminate the agreement for convenience on sixty days written notice which must be given at least sixty days before the end of the Initial Subscription Term (as identified on your Order Form) or sixty days before the end of the current Renewal Period; as applicable.
- This means that; should either party give written notice less than sixty days before the end of the Initial Subscription Term (or the current annual Renewal Period, as applicable), or does not issue written notice, the Subscription Services shall automatically renew for further twelve month periods thereafter, unless expressly terminated in accordance with the terms of the contract.
- For clarity the Initial Subscription Term commences on the Effective Date specified in your original Order.
- For the avoidance of doubt this does not affect either of our contractual right to terminate for cause, as set out in clause 24 and 25.
‘Mitrefinch Australia, Support Terms’; dated 1 January 2021:
- Clause 13 states that the agreement will continue for the Initial Subscription Term, and thereafter for successive periods of twelve months (the “Renewal Period”) unless and until terminated in accordance with clause 25.
- Clause 25 (Termination) allows either party to terminate the agreement for convenience on sixty days written notice which must be given at least sixty days before the end of the Initial Subscription Term (as identified on your Order Form) or sixty days before the end of the current Renewal Period; as applicable.
- This means that; should either party give written notice less than sixty days before the end of the Initial Subscription Term (or the current annual Renewal Period, as applicable), or does not issue written notice, the Subscription Services shall automatically renew for further twelve month periods thereafter, unless expressly terminated in accordance with the terms of the contract.
- For clarity the Initial Subscription Term commences on the Effective Date specified in your original Order.
For the avoidance of doubt this does not affect either of our contractual right to terminate for cause, as set out in clause 26 and 27.
